1. Acceptance of These Terms

These Terms of Service govern the use of this website and the desk services provided by LUOKUN GROUP LIMITED. By using the website, sending an enquiry, or instructing the desk to act on a file, you agree to these terms. If you do not agree, please do not use the website and do not instruct the desk.

These terms apply together with any written engagement letter or mandate that the group signs with you. Where a signed document conflicts with these terms, the signed document takes priority for the matter it covers.

You confirm that you have authority to accept these terms on behalf of any company you represent, and that the information you give the group is accurate.

2. Who We Are

LUOKUN GROUP LIMITED is a Hong Kong holding group administration and trade desk. Its office is at 12/F SAN TOI BLDG, 137-139 CONNAUGHT RD C, Sheung Wan, Hong Kong (HK). The group may be reached by email at contact@luokungroup.mom and by telephone at +85259984023.

The group coordinates sourcing mandates, joint venture paperwork and container shipping documentation for its operating companies. It acts as the administrative spine of the group and does not itself manufacture, sell or transport goods.

References to the group, we, us and our in these terms mean LUOKUN GROUP LIMITED. References to you and your mean the person or company using the website or instructing the desk.

3. Scope of the Services

The desk provides the following services, each described in more detail on the services page.

  • Group sourcing mandates, opened with a bench number, a revision trail and an owner.
  • Joint venture paperwork, including term sheets, capital schedules and signing packs.
  • Container shipping documentation, reconciled against the booking before the gate closes.
  • Supplier contract review, returned as a marked copy with plain-language notes.
  • Trade finance liaison, tracking instruments against shipment milestones.
  • Compliance filing support, prepared on a calendar and logged for audit.

The group may decline a file, may limit the scope of a file, and may stop work where a matter falls outside its competence or raises a conflict. The desk takes a limited number of new files each month so that each seal receives proper attention.

4. No Legal, Financial or Tax Advice

The desk is not a law firm, a bank, an auditor or a licensed financial adviser. Nothing on the website and nothing in the desk services is legal, financial, investment or tax advice, and nothing should be relied on as such.

A contract review prepared by the desk is a commercial reading of the document. It does not replace advice from a qualified lawyer in the relevant jurisdiction. A trade finance liaison service does not replace the terms of the bank instrument or the judgment of a finance professional. A compliance filing service does not replace the advice of a company secretary or a licensed adviser.

Where a matter requires a licensed professional, the desk will say so and will recommend that you obtain that advice before you act.

5. Use of the Website

You may use the website for lawful business purposes only. You must not attempt to gain unauthorised access to the website or its systems, introduce malicious code, interfere with the normal operation of the website, or use the website in a way that harms the group or any other person.

You must not scrape, copy or republish a substantial part of the website without written permission. You must not use the contact form to send unlawful, misleading or unsolicited commercial content.

The group may suspend or block access to the website where it has reason to believe that these terms have been breached or that the website is being misused.

6. Enquiries and Desk Slots

An enquiry sent through the website, by email or by telephone does not create a client relationship. A client relationship begins only when the group confirms a desk slot in writing or when both parties sign an engagement letter or mandate.

Until a desk slot is confirmed, the group is not obliged to act, to hold documents, to meet a deadline or to keep a file open. Correspondence that does not lead to a confirmed slot may be kept for the period described in the privacy policy and is then removed.

The group may ask for further information before it confirms a slot, including details of the parties, the goods, the shipment and the deadlines involved.

7. Your Responsibilities

You are responsible for the accuracy and completeness of the information and documents you give the desk. The desk works from what it is given, and it cannot verify facts that are not disclosed.

You are responsible for meeting your own legal, regulatory and tax obligations, for obtaining any licence or permit you need, and for complying with the laws that apply to your business. You are responsible for the commercial decisions you take, including the decision to enter a contract, a joint venture or a shipment.

You are responsible for keeping the contact details you give the group up to date so that the desk can reach you about deadlines and missing documents.

8. Documents and Instructions

Instructions should be clear and in writing where the matter is significant. The desk may act on an instruction from a person it reasonably believes is authorised to give it. The desk may ask for written confirmation before it acts on an instruction that carries a material risk.

The desk keeps a numbered record of each file. Documents are stored against that number, and changes are logged. You should keep your own copies of everything you send, because the group does not guarantee that a file will be available forever.

Where the desk spots an error or a discrepancy in a document, it will raise the matter. The final responsibility for the accuracy of a document remains with the party that issued it.

9. Fees and Payment

Fees for desk services are agreed in writing before a slot is confirmed, either in an engagement letter, a mandate or a fee schedule. Where a fee is based on an estimate, the estimate is an indication and not a fixed price unless it is stated to be fixed.

Invoices are payable within the period stated on the invoice. The group may suspend work on a file where an invoice remains unpaid, and it may require payment before releasing documents. Interest may be charged on overdue amounts where the law permits and where the fee terms allow it.

Fees do not include disbursements such as carrier charges, bank charges, registry fees or courier costs unless the fee schedule states otherwise. Disbursements are charged at cost unless agreed otherwise.

10. Third Party Carriers, Banks and Providers

The desk coordinates with third parties such as freight forwarders, carriers, banks, registries and professional advisers. Those third parties act under their own terms and their own rules, and the group does not control them.

The group is not responsible for a delay, a refusal or a loss caused by a third party, including a missed vessel, a refused document presentation or a delayed registry filing, where the cause lies outside the control of the group.

Where the group engages a third party on your behalf, it will do so on the terms it considers appropriate and will keep you informed of any material term that affects you.

11. Intellectual Property

The website, its design, its text and its visual elements are the property of LUOKUN GROUP LIMITED or are used with permission. You may view and print the website for your own business use, but you may not copy, adapt, distribute or republish it for commercial purposes without written consent.

The group name, its marks and the seal numbering system used by the desk are protected. Nothing in these terms grants you a licence to use them except as part of the desk services.

Documents you provide to the desk remain yours. The group claims no ownership over your documents, but it may keep a copy as part of the file record and for the period described in the privacy policy.

12. Confidentiality

The desk treats the commercial information you provide as confidential. It uses that information to perform the work and shares it only with the parties that need it for the file, as described in the privacy policy.

The group may be required to disclose information by law, by a court order or by a regulator. Where it is permitted, the group will tell you before it discloses, so that you can take any step that is available to you.

Confidentiality obligations continue after a file is closed, for as long as the information remains confidential.

13. Disclaimer of Warranties

The website and the desk services are provided on a reasonable skill and care basis. The group does not warrant that the website will be uninterrupted or error free, that a document will be accepted by a carrier, a bank or a registry, or that a deadline will always be met where the cause lies outside the control of the group.

To the fullest extent permitted by law, the group disclaims all other warranties, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

Nothing in these terms excludes or limits any warranty or right that cannot be excluded or limited under the law that applies to you.

The group does not warrant that a third party will accept a document, that a carrier will load a container within a stated window, or that a bank will honour a presentation where the underlying credit terms are not met. The desk checks the paperwork, but the decision to accept or reject a document rests with the receiving party.

You are responsible for reading any output of the desk before you rely on it, and for raising a question promptly if something appears to be wrong. The desk would rather answer a question before a vessel sails than explain an error after it has sailed.

14. Limitation of Liability

To the fullest extent permitted by law, the group is not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of business, loss of goodwill or loss of data, arising out of or in connection with the website or the desk services.

Where the group is liable, its total liability for a file is limited to the fees paid to the group for that file, unless a signed engagement letter states a different limit or the law does not allow the limit to apply. The limit applies to the file as a whole and not to each separate item of work.

The group is not liable for a loss caused by inaccurate or incomplete information supplied to it, by an instruction from an unauthorised person, or by a failure of a third party beyond the control of the group.

15. Indemnity

You agree to indemnify the group against claims, losses and reasonable costs that arise from your breach of these terms, from inaccurate or unlawful content you provide, or from your infringement of the rights of a third party.

The indemnity does not apply to the extent that a claim is caused by the negligence or wilful misconduct of the group.

The group will tell you promptly about a claim that may be covered by this indemnity and will cooperate in the defence of the claim, subject to its own reasonable interests.

You also agree to reimburse the reasonable cost of any document, courier, bank or registry charge that the group advances on your behalf in the course of a file, where that charge has been agreed with you or is a necessary part of the work you have instructed.

16. Force Majeure

The group is not liable for a failure or delay caused by an event beyond its reasonable control. Such events include severe weather, typhoon, flood, earthquake, fire, war, civil unrest, epidemic, labour dispute, carrier disruption, port closure, failure of a utility or network, and a change in law.

Where such an event occurs, the group will tell you promptly and will use reasonable efforts to continue the work when it can. If the event continues for a long period, either party may end the affected file without liability for the part that cannot be performed.

The group will keep records of the event and of the steps it took, so that the position can be explained afterwards.

17. Termination and Suspension

Either party may end an engagement by written notice. Where the group ends an engagement, it will explain the reason unless it is not permitted to do so. Fees for work already performed remain payable.

The group may suspend a file at once where it has reason to believe that continuing would involve unlawful activity, a conflict of interest, a risk to confidentiality or a failure to pay.

On termination, the group will return the documents that belong to you, subject to any right of lien for unpaid fees and to its own record keeping obligations.

18. Governing Law and Jurisdiction

These terms are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, unless a signed engagement letter states otherwise.

Before starting formal proceedings, the parties will try in good faith to resolve a dispute through discussion. A dispute that cannot be resolved may be referred to the courts of Hong Kong.

If a provision of these terms is found to be invalid or unenforceable, the rest of the terms remain in full force, and the invalid provision is read down or replaced so far as the law allows.

19. Changes to These Terms

The group may update these terms from time to time. The effective date at the top of the page shows when the current version took effect. Where a change is significant, the group will make that clear on the website.

Changes apply to use of the website and to new files from the date of the update. A file that is already open continues to be governed by the terms that applied when the file was opened, unless the law requires otherwise or the parties agree to a change.

A company that wants a copy of an earlier version of these terms may request it from the group using the contact details below.
